Corporate Governance and Directors’ and Officers’ Liability Insurance (D&O)
There has recently been an increasing need by companies for professional assistance in enforcing or defending against liability claims– not least due to adjudications by the Federal Supreme Court.
Since the first guideline ruling regarding D&O liability (ARAG v Garmenbeck), Grooterhorst & Partner Rechtsanwälte have been constantly dealing with issues relating to the principles of correct business management for leading German firms.
Mergers and acquisitions
We advise both purchasers and sellers in obtaining a detailed assessment of the object of sale (due diligence). We provide support in both negotiations and in preparing final agreements.
Commercial law
The interests of our clients in this area range from company law to balance sheet law; they relate in particular to issues of liability for merchants, companies, their shareholders and executive bodies, and the contracting of agreements under commercial law, such as sales representative agreements and sales contracts.
Banking law
Grooterhorst & Partner Rechtsanwälte provide advice in the formulation of credit agreements, specifically in the context of corporate financing. Areas of special expertise include consulting services for the negotiation of loans, enforcement of credit agreement claims and the structuring of collateral.
Insurance law
We advise major insurance corporations in their defence of liability claims. In particular we have advised on claims in the area of architectural engineering liability (including civil building laws). These relate in almost every case to claims based on major damage events. We also defend our clients in the area of industrial insurance.
Insolvency law
We advise companies, business people and insolvency administrators. Recent cases have involved restructuring disputes, enforcement of judgments and disputes regarding rights of legal challenge.
Associations and foundations
The activities of non-profit organisations, associations and foundations and their legal position in public discussions are currently a matter of keen public interest. We played a decisive role in securing the fundamental ruling by the Federal Supreme Court on this (Kolping Bildungewerk Sachsen eV.) and were able to achieve a successful outcome for the respondent association from the Federal Supreme Court.
Labour law
We advise companies ,executive bodies and executive staff in a wide range of matters of individual and collective labour law, including the drafting of employment contracts with leading executives and members of executive bodies and advising on disputes, providing continuing support.
